The Directors believe that a commitment to strong corporate governance standards is an essential element of enhancing long term shareholder value in a sustainable manner.

The Company is part of the Cencora Group. Cencora has its own corporate governance programme, full details of which can be found at https://investor.cencora.com/governance/policies/default.aspx . The Company adheres to Cencora's guiding principles in order to fulfil the Group's shared purpose of being united in our responsibility to create healthier futures. In addition, the Company operates a robust framework of delegated authorities and internal policies, processes, training and governance, which all support the Company’s corporate governance arrangements as a whole.

Further explanation of how the Company applies the most relevant principles is set out below.

Role of Board and management

The Company’s business is conducted by its employees, managers and officers, under the direction of the Board of Directors, to enhance the long-term value of the Company by addressing the concerns of key stakeholders, including employees, customers, suppliers, local communities and the public at large. Details on how the Company engages with key stakeholders can be found in the Section 172 statement in the Strategic Report.

The Directors provide risk oversight with a focus on the most significant risks facing the Company, including strategic, operational and reputational risks. Directors participate in various committees in order to manage and mitigate these risks. Additional information can be found in the Strategic Report.

Ethics and conflict of interest

All employees, officers and Directors of the Company are expected to act ethically at all times and to acknowledge their adherence to the policies comprising Cencora’s Code of Conduct and Business Ethics, which is included as mandatory annual training along with other key governance topics.

Annual compensation review of Company’s Directors

Cencora senior management annually approve the goals and objectives for compensating the Company’s Directors. Performance is reviewed in light of these goals before setting the Director’s salary, bonus and other incentive and equity compensation.

Strategic goals

The Directors will review and evaluate the long-term strategic goals of the Company at least annually.

Director Orientation and Continuing Education

New Directors shall participate in orientation activities which include briefings on their duties, discussions with senior management and background materials on subjects that will help them with discharging their duties. All Directors shall regularly receive additional director education in subjects relevant to the duties of a Director, including the study of corporate governance best practices and ethics.
